DIGITAL FILE LICENSE AGREEMENT

This Digital File License Agreement (“Agreement”) is a legally binding agreement between you (“Licensee”, “You”, or “User”) and shopaExpress (“Licensor”, “We”, “Us”, or “Our”). This Agreement governs your access to, purchase, download, and use of all digital products made available through our website, including but not limited to eBooks, PDF files, images, graphics, templates, photography LUTs, videos, audio files, software resources, and any related digital content (“Licensed Materials”).

By purchasing, downloading, accessing, or using any Licensed Materials from our platform, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement. If you do not agree with these terms, you must not download, access, or use the Licensed Materials.

1. GRANT OF LICENSE

Upon successful purchase or lawful access, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Licensed Materials strictly in accordance with the terms of this Agreement.

This license permits you to use the Licensed Materials for personal use or internal business use only, unless otherwise explicitly stated in writing by shopaExpress.

2. OWNERSHIP AND INTELLECTUAL PROPERTY

All Licensed Materials are the exclusive intellectual property of shopaExpress and/or its content creators. This Agreement does not transfer any ownership rights to you. All copyrights, trademarks, design rights, trade secrets, and other intellectual property rights remain solely with the Licensor.

You acknowledge that the Licensed Materials are protected by copyright laws, international treaties, and other applicable intellectual property regulations.

3. PROHIBITED USES

You are strictly prohibited from engaging in any of the following activities:

• Reselling, redistributing, sharing, sublicensing, or transferring the Licensed Materials to any third party.
• Uploading the Licensed Materials to file-sharing platforms, torrent sites, cloud storage for public access, or social media.
• Using the Licensed Materials as part of any product, service, or project intended for resale or commercial distribution.
• Claiming ownership or authorship of the Licensed Materials.
• Modifying, altering, reverse engineering, or creating derivative works for redistribution.
• Using the Licensed Materials in a way that competes directly or indirectly with shopaExpress.
• Using the content for unlawful, defamatory, obscene, or harmful purposes.

Illegal distribution, resale, duplication, or misuse of any Licensed Materials is a serious violation of this Agreement and applicable copyright laws.

4. IMAGES, GRAPHICS, AND VISUAL CONTENT

All images, graphics, illustrations, mockups, designs, and visual elements are licensed for use only as permitted under this Agreement. You may not extract, isolate, or reuse individual visual components outside their intended licensed purpose.

Using Licensed images or graphics in stock libraries, NFTs, print-on-demand platforms, or digital marketplaces is strictly forbidden unless explicitly authorized in writing.

5. NO SHARING OR MULTI-USER ACCESS

Each license is intended for single-user use only. You may not share your download links, account access, or files with colleagues, friends, clients, or third parties. Multiple users require separate licenses.

6. TERMINATION

This Agreement is effective until terminated. We reserve the right to immediately terminate your license without notice if you violate any term of this Agreement. Upon termination, you must cease all use of the Licensed Materials and delete all copies from your devices and storage systems.

7. NO WARRANTIES

All Licensed Materials are provided “as is” without warranties of any kind, express or implied. We do not guarantee that the materials will meet your specific requirements or be error-free.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, shopaExpress shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Licensed Materials.

9. LEGAL ACTION AND ENFORCEMENT

Unauthorized use, reproduction, or distribution of the Licensed Materials may result in civil and/or criminal penalties. shopaExpress reserves the right to pursue legal remedies, including monetary damages, injunctions, and recovery of legal fees.

10. GOVERNING LAW

This Agreement shall be governed and interpreted in accordance with applicable laws, without regard to conflict of law principles.
